General Terms
These Terms of Service govern access to and use of TrustMLink's legal consulting services related to business agreements. The terms explain the scope of services, client obligations, professional limitations, and the contractual relationship between TrustMLink and clients. By engaging our services you acknowledge these terms and the scope described in your engagement letter or proposal. Professional advice is provided based on the facts and documents you supply and applicable law as of the effective date.
1Eligibility and Authorized Use
Our services are designed for businesses and authorized representatives who can lawfully enter into contracts and retain legal advisory services under Malaysian law. By using TrustMLink services, you represent that you have authority to act for the entity you represent and that your use complies with local laws and these terms.
Clients must be of legal capacity to contract in their relevant jurisdiction. TrustMLink does not provide services to individuals or entities lacking authority to retain legal counsel or to bind a business without appropriate authorization.
Services must be used for lawful purposes. You must not use TrustMLink to prepare documents or provide instructions that facilitate fraud, infringement, or other unlawful conduct. We reserve the right to refuse assistance that appears inconsistent with ethical or legal obligations.
TrustMLink operates with a primary focus on Malaysia. Advice provided is based on Malaysian law unless otherwise specified. International clients should confirm applicability of local laws and, where required, seek local counsel in their jurisdiction.
2Client Accounts and Access
When you create an account or retain TrustMLink services, you will provide contact details and identifiers. You are responsible for maintaining accurate account information and for all activity under your account credentials.
You must ensure the accuracy and completeness of materials, documents, and information you provide. TrustMLink's legal assessments rely on provided facts; incomplete or inaccurate information may affect conclusions and recommendations.
Protect your account credentials. Notify TrustMLink promptly if you suspect unauthorized access. We implement administrative, technical, and physical safeguards to protect client information but cannot eliminate all risks inherent in digital communications.
Accounts and service subscriptions are non-transferable without TrustMLink's prior written consent. Any attempt to transfer access or credentials may be suspended pending verification.
If you believe your account has been compromised, notify TrustMLink immediately. Cooperate with reasonable requests to contribute the incident so we can take steps to secure data and restore legitimate access.
TrustMLink may suspend access to services where required by law, to protect client data, or when suspicious or prohibited use is detected. We will provide notice and remediation steps where appropriate.
3Scope of Services
TrustMLink provides professional legal consulting focused on drafting, reviewing, and advising on business agreements, including commercial contracts, NDAs, service agreements, and partnership documentation. Engagements are scoped in writing and specify deliverables, timelines, and fees. Legal research, drafting, negotiation support, and risk assessments are included where agreed.
We may modify the scope of services through written amendments or updated engagement letters. Any material change that impacts fees or timelines will require client acknowledgment before implementation.
Service availability may be affected by team schedules, public holidays, or unforeseen events. TrustMLink will communicate expected delivery timelines and reasonable alternatives if delays occur due to factors beyond our control.
4Client Responsibilities and Conduct
Clients are expected to cooperate, provide accurate information, and act in good faith. The following rules set out prohibited activities and expectations for professional conduct.
- Provide complete and timely documentation necessary for legal review and advice.
- Do not submit privileged or third-party confidential information without proper authorization.
- Use delivered advice and templates in accordance with the intended context and seek clarification when uncertain.
- Refrain from requesting assistance for actions that are illegal, fraudulent, or intended to infringe third-party rights.
- Maintain secure handling of documents and credentials issued by TrustMLink.
- Communicate respectfully with TrustMLink staff and observe agreed engagement protocols.
- Report any potential conflicts of interest or circumstances that could affect our ability to provide independent advice.
5Client Materials and Content
Clients may upload documents, contract drafts, and factual information for review. Those materials remain subject to client ownership but are processed as necessary to provide consulting services.
You retain ownership of original documents and data you provide to TrustMLink. TrustMLink does not claim ownership of client-provided materials, except for materials we create which are licensed as described in the engagement terms.
By providing materials to TrustMLink you grant us a limited, non-exclusive, revocable license to access, copy, and use those materials for the purpose of performing the contracted services, maintaining records, and complying with legal obligations.
You are responsible for the legality, accuracy, and completeness of materials you provide. TrustMLink will not be liable for issues arising from omissions or inaccuracies in client-supplied content.
Upon termination of an engagement and subject to legal retention requirements, TrustMLink will dispose of client materials according to agreed procedures. Requests for return of documents will be processed in line with the engagement agreement and applicable law.
6Intellectual Property
Intellectual property rights in materials created by TrustMLink during the engagement are governed by the engagement letter. Typically, TrustMLink grants clients a license to use drafted documents for their business purposes, while retaining rights in proprietary methodologies, templates, and legal tools.
- Clients may not publish, resell, or sublicense TrustMLink proprietary templates without explicit written permission.
- Where bespoke drafting or legal opinions are provided, clients receive a license bounded by the stated business purpose and jurisdictional use.
- Unauthorized use of TrustMLink branding, activity, or proprietary materials is prohibited and may result in termination of services.
7Paid Services and Fees
TrustMLink's paid services include fixed-fee contract reviews, hourly advisory work, document drafting, and subscription-based retention plans. Fees are set out in proposals and engagement letters tailored to the client's needs.
Pricing is based on the agreed scope, complexity, and estimated time required. Quotes are provided in writing and reflect professional rates, disbursements, and any applicable taxes. Additional work outside the scope will be billed as agreed.
Invoices are issued per the engagement terms and are payable within the stated period. Accepted payment methods will be described in the invoice. Clients must ensure timely payment to avoid interruptions to services.
Subscription or retainer arrangements provide ongoing access to advisory time and priority scheduling subject to specified hourly limits and rollover rules stated in the subscription agreement.
Refunds for paid services are handled on a case-by-case basis consistent with consumer protection laws and the terms of the engagement. Where work has been performed, partial refunds may be adjusted to reflect time incurred and deliverables provided.
Clients may cancel services according to the notice periods set in the engagement agreement. Cancellations do not relieve the client of payment obligations for services already rendered or committed third-party costs.
Clients are responsible for any taxes, duties, or governmental charges applicable to paid services. Fees quoted exclude taxes unless expressly stated otherwise.
TrustMLink may adjust fees for new engagements or renewals. Existing fixed-fee agreements remain subject to their original terms unless amended by mutual consent.
Non-payment may result in suspension of services, suspension of access to client deliverables, or referral to collections where necessary. TrustMLink will provide notice and an opportunity to cure before taking such steps.
8Professional Disclaimer
Legal advice provided by TrustMLink is based on the information available at the time of the engagement and the applicable law. Advice does not extend to unforeseen facts or future changes in law. Clients should consider obtaining updated advice for material changes in circumstances or law.
9Limitations of Liability
To the maximum extent permitted by law, TrustMLink's liability for direct loss arising from professional services is limited to amounts paid for the specific engagement or a specified cap in the engagement letter. Liability for indirect, consequential, or punitive damages is excluded. These limitations do not exclude liability that cannot be lawfully limited.
10Third-Party Services and References
TrustMLink may recommend or coordinate with third-party providers such as notaries, translators, or jurisdictional counsel. Any relationship with third parties is independent, and TrustMLink acts only as introducer unless otherwise agreed. Clients contract directly with third parties and bear responsibility for those services.
11Termination of Services
Either party may terminate the engagement in accordance with the termination provisions in the engagement letter. TrustMLink may suspend or terminate services for non-payment, material breach, or where continuing the engagement would conflict with professional or legal obligations.
On termination, clients remain liable for fees and expenses incurred up to the termination date. TrustMLink will deliver outstanding work product and return client materials as agreed, subject to any legal retention obligations and receipt of outstanding fees.
12Privacy and Data Protection
TrustMLink processes client personal data to provide legal services and comply with legal obligations. Personal data handling is governed by our privacy information and applicable data protection laws in Malaysia. We implement reasonable measures to protect data confidentiality and integrity.
13Communications and Notices
Official communications and notices under these terms will be delivered by email to the contact address on file or by registered post to the client address. Electronic communications are effective when sent, and clients should ensure contact information remains up to date.
14Changes to These Terms
TrustMLink may revise these Terms of Service to reflect changes in the law, operational practices, or service offerings. Material changes will be communicated in advance where practicable. Continued use after notice indicates acceptance of revised terms.
15Governing Law
These terms and any engagement are governed by and construed in accordance with the laws of Malaysia. Disputes subject to applicable jurisdictional rules will be addressed through the dispute resolution mechanisms set out below or in the engagement letter.
16Dispute Resolution
Parties should attempt to resolve disputes arising from services through negotiation and good-faith discussion. If unresolved, disputes may be referred to mediation or arbitration in Malaysia as agreed in the engagement letter. Formal proceedings should be a last resort and conducted in line with governing law.
